Terms of Service

These Terms of Service ("Terms") govern your access to and use of AutoResearch Cloud ("AutoResearch", the "Service"), operated by Frozo.ai ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration and Eligibility

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. By registering, you represent and warrant that you meet these requirements.

1.2 Account Creation

To use the Service, you must create an account by providing a valid email address, a name, and a password. You must verify your email address before gaining full access to the platform.

1.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us at legal@research.frozo.ai if you suspect unauthorised access to your account. You are liable for all activity that occurs under your account.

1.4 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or plan restrictions is prohibited and may result in immediate termination of all associated accounts.

2. Bring Your Own Key (BYOK) -- API Key Usage

2.1 Your Keys, Your Responsibility

AutoResearch operates on a Bring Your Own Key model. You are solely responsible for:

• Obtaining and maintaining valid API keys from supported providers (Anthropic, OpenAI, Google).
• Ensuring your API key usage complies with the respective provider's terms of service and usage policies.
• All costs incurred through your API keys, including charges from third-party LLM providers.
• Revoking compromised keys directly with the provider if you suspect misuse.

2.2 No Liability for API Costs

AutoResearch is not responsible for any charges incurred on your third-party API accounts. Experiment runs may generate significant API usage depending on your configuration (number of experiments, model selection, prompt length). You acknowledge that you understand and accept these costs before initiating any run.

2.3 Key Handling

We handle your API keys in accordance with our Privacy Policy. Keys are ephemeral by default and never stored in plaintext. See our Privacy Policy, Section 2 for full details on key handling.

3. Acceptable Use

You agree not to use the Service to:

• Mine cryptocurrency or perform unrelated computation. The Service is designed exclusively for AI experiment optimisation. Using experiment execution environments for cryptocurrency mining, distributed computing, or any purpose unrelated to AutoResearch experiments is strictly prohibited.
• Abuse or overload the platform. Deliberately attempting to circumvent rate limits, plan restrictions, or resource quotas, or conducting denial-of-service attacks against our infrastructure.
• Create malicious eval harnesses. Writing evaluation scripts that execute malicious code, attempt to access other users' data, escalate privileges, or compromise the security of our execution environment.
• Generate harmful content. Using the Service to produce content that is illegal, defamatory, harassing, or that promotes violence, discrimination, or any form of harm.
• Reverse-engineer the Service. Attempting to decompile, disassemble, or reverse-engineer any aspect of the Service, or scraping data from the platform.
• Resell access. Sublicensing, reselling, or sharing your account access with third parties without our written consent.

We reserve the right to suspend or terminate accounts that violate these acceptable use terms, with or without prior notice.

4. Subscription Plans and Billing

4.1 Plans

AutoResearch offers multiple subscription tiers (Free, Starter, Pro, Team) with varying usage limits. The current plan details, including pricing and feature availability, are displayed on our pricing page.

4.2 Payment Processing

All payments are processed by DodoPayments, our third-party payment processor. By subscribing to a paid plan, you agree to DodoPayments' terms of service in addition to these Terms. We do not store your payment card information; all card data is handled exclusively by DodoPayments.

4.3 Billing Cycle

Paid subscriptions are billed monthly on the anniversary of your initial subscription date. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of your next billing cycle.

4.4 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods, except as required by applicable law.

4.5 Usage Limits

Each plan includes specific limits on the number of runs per month, parallel execution lanes, and experiments per run. If you exceed your plan limits, additional runs will be queued until your next billing cycle or until you upgrade your plan.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all content you create, upload, or generate through the Service, including but not limited to:

• Program definitions (program.md files) and experiment configurations.
• Experiment results, scores, diffs, and any generated code or artefacts.
• Evaluation scripts and harness configurations.

We do not claim any ownership rights over your content. We do not use your content to train machine learning models or for any purpose other than providing the Service to you.

5.2 License to Operate

By uploading content to the Service, you grant us a limited, non-exclusive, revocable licence to host, process, and display your content solely for the purpose of providing the Service to you. This licence terminates when you delete the content or your account.

5.3 Our Intellectual Property

The Service, including its design, code, user interface, branding, and documentation, is owned by Frozo.ai and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets.

6. Limitation of Liability

6.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 No Guarantee of Results

We do not guarantee that experiments run through the Service will produce improvements, achieve specific scores, or meet your objectives. The quality of results depends on factors outside our control, including your program definition, evaluation harness, API provider performance, and model capabilities.

6.3 Limitation of Damages

To the maximum extent permitted by applicable law, in no event shall AutoResearch, Frozo.ai, or their officers, directors, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities arising from the use or inability to use the Service.
• Costs incurred through third-party API providers (including LLM usage charges).
• Service interruptions, data loss, or security breaches beyond our reasonable control.

Our total aggregate liability to you for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or INR 10,000, whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless AutoResearch, Frozo.ai, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service or violation of these Terms.
• Your content, including program definitions and eval scripts.
• Your use of third-party API keys, including any violation of provider terms.
• Your violation of any applicable law, regulation, or third-party right.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at legal@research.frozo.ai or through your account settings. Upon termination, your data will be handled in accordance with our Privacy Policy.

8.2 Termination by Us

We may suspend or terminate your account immediately and without prior notice if:

• You violate these Terms or the acceptable use policy.
• Your account is used for fraudulent, illegal, or harmful activities.
• You fail to pay subscription fees for more than 30 days past due.
• We are required to do so by law or a court or regulatory order.

8.3 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately.
• Any pending experiment runs will be cancelled.
• You may request a data export within 30 days of termination, after which your data will be permanently deleted.
• Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

9.2 Jurisdiction

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

9.3 Informal Resolution

Before filing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@research.frozo.ai. We will attempt to resolve the dispute within 30 days. If resolution is not reached, either party may proceed with formal legal action.

10. Modifications to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email at least 15 days before the changes take effect and update the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AutoResearch regarding the Service and supersede all prior agreements or understandings.

11.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

11.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
